1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Jason Almine ("I," "my," or "me"), concerning your access to and use of the jasonalmine.dev website and any related services (collectively, the "Services"). By accessing or using my Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use my Services.
2. Services Description
I provide GoHighLevel-powered systems, CRM implementation, marketing automation, AI integration, media buying, and related digital marketing services. The specific scope, deliverables, and terms of any services will be outlined in a separate service agreement or statement of work between you and me.
3. User Representations
By using my Services, you represent and warrant that:
- You are at least 18 years of age
- You have the legal capacity to enter into these Terms
- You will not use my Services for any illegal or unauthorized purpose
- Your use of the Services will not violate any applicable law or regulation
- All information you provide to me is accurate, current, and complete
4. Intellectual Property
Unless otherwise indicated, the website and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by me or my licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on my website without my prior written consent.
5. Client Work and Deliverables
For clients who engage my services, ownership and usage rights of deliverables will be specified in the applicable service agreement. Generally, upon full payment, clients receive a license to use the deliverables for their intended business purpose. I retain the right to use anonymized or generalized versions of my work for portfolio and marketing purposes unless otherwise agreed in writing.
6. Payment Terms
Payment terms for services will be specified in individual service agreements or invoices. Unless otherwise stated, payments are due upon receipt of invoice. I reserve the right to suspend or terminate services for accounts with overdue payments. All fees are non-refundable unless otherwise specified in writing.
7. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. I DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL I BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. MY TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to defend, indemnify, and hold harmless Jason Almine from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
10. Third-Party Services
My Services may integrate with or rely upon third-party platforms and services, including but not limited to GoHighLevel, Google, Meta, and others. Your use of such third-party services is subject to their respective terms of service and privacy policies. I am not responsible for the availability, accuracy, or content of third-party services.
11. Termination
I may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions.
13. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved through negotiations within thirty (30) days, either party may pursue legal remedies as provided herein.
14. Changes to Terms
I reserve the right to modify or replace these Terms at any time at my sole discretion. If a revision is material, I will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at my sole discretion. By continuing to access or use my Services after any revisions become effective, you agree to be bound by the revised terms.
15. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
16. Entire Agreement
These Terms, together with any service agreements and my Privacy Policy, constitute the entire agreement between you and Jason Almine regarding your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
